Launch Product Sheet

DigiShares provides a platform for the tokenization of real-world assets.

The platform helps issuers with three main processes:

DigiShares’ platform is used to onboard new or existing investors in private securities such as shares in real estate, infrastructure, SMEs, private equity funds etc. 

The DigiShares platform makes it easier to onboard fractional investors from around the world at a very low cost and provide them with the option to seek liquidity.

For on-chain investor management,

Many functions are provided to pay out dividends, maintain a shareholder register / share cap table, create capital calls, ensure communication with investors, to conduct shareholder meetings, to conduct votes, etc. In addition, the solution supports various corporate actions giving the administrator the right to forcefully transfer tokens from one investor to another, or back to the company – and to reissue tokens in case an investor lost access to them, in compliance with regulations. Issuers have the flexibility to tag the attributes of their choice to their investors and assets, thus enabling granular filtering and precise matchmaking.

The platform provides options for “closed” and “open” secondary trading. For “closed” trading

 i.e. in the environment controlled by the client – a bulletin board marketplace is provided. Investors within a project can trade tokens with each other without an intermediary. They can issue buy and sell orders and match on their own. In some jurisdictions, it is also possible for new investors to be whitelisted and invited into the bulletin board such that they can buy tokens from existing investors

For “open” trading 

i.e. on an external exchange where anyone can participate – the platform provides integrations for the security tokens to be listed on various licensed security token exchanges, such as RealEstate.Exchange. In this scenario, any investor with an account on the exchange can start trading. Both of these functions can provide increased liquidity and therefore bring value to investors and reduce their risk. It is important to be aware of regulations surrounding secondary trading in the chosen jurisdiction, as obtaining licenses or working with a licensed partner of DigiShares may be necessary.

For the issuance process

We support a customized onboarding process where KYC and AML options can be adjusted to the specific jurisdiction of the issuer and investors. Investors have their own dashboard where they can view token holdings, communicate with the issuer or platform operator, vote on relevant issues, purchase more tokens, etc. The issuer has a dashboard where it can set up an automated KYC/AML process. Once investors are approved, they can buy tokens using stablecoins (e.g. USDC) or other cryptocurrencies. The solution has an e-signature module such that the contract work-flow can be further automated, with prefilling supported.

INVESTOR DASHBOARD

  • Token purchase with stablecoins and other cryptos (e.g. USDC, ETH, etc.)
  • WalletConnect integration: your investors can easily connect their own wallets thanks to the support of over 300 different self-custodial wallets. 
  • Investor registration: creation of an account (e-mail & password)
  • KYC/AML: integration with SumSub
  • US Accreditation check (for Reg D): integration with VerifyInvestor
  • E-signature of subscription agreements: integration with Dropbox Sign and built-in solution
  • Asset overview: investors can view a detailed description page (containing text, videos, pictures, uploaded PDFs) for each asset you’re offering 
  • Asset portfolio: overview of the investor’s assets. Shows number of tokens owned in each, total value, performance, transaction history etc.
  • Investor communications: investors can send private messages to administrators
  • Voting & Shareholder meetings

ISSUER DASHBOARD

  • Token studio: issuers can create security tokens on Ethereum, Layer 2 EVM chains (e.g. Polygon) and permissionned chains (e.g.Polymesh)
  • Determine security token characteristics: initial price, number, lock-up periods, individual investor limits, KYC whitelisting requirements etc. 
  • Create different share classes with different voting rights, characteristics etc. 
  • Cap table management: overview of current shareholders with instantaneous updates from the blockchain when transactions occur. You can export the cap table or upload existing investors via csv if needed. Snapshot views of the state of the cap table at a specific date are also possible .
  • Ability to burn/freeze tokens and reissue them
  • Forced transfers: to investors, to issuer
  • View transaction history, registration information, documents, wallets, KYC history, and other details relative to each investor (individual or entity)
  • Distributions: send distributions (e.g. dividends) to investors
  • Capital calls: send requests to investors demanding that they transfer a portion of the funds they’ve committed to your offering
  • Contract module where contracts can be uploaded for e-signature and where you can see which investors have signed or not
  • Define attributes and tag investors with them for advanced sorting, filtering and searching

BULLETIN BOARD MARKET PLACE

  • Investors can trade peer-to-peer on the blockchain by placing buy & sell orders or reacting to existing orders
  • These are limit orders, meaning the investor indicates the price, number of shares and dates between which the order is valid
  • There are no market orders or automated order matching, such that the system can operate without intermediaries
  • Price negotiation between investors is also possible
  • All registered and KYC’d users have access 
  • Non-shareholders can be invited to participate in the trading
  • Trades are done using an “atomic swap”, such that there is no counter-party risk: either the trade happens successfully for both sides, or it does not happen at all
  • Partial order fullfillments are possible
  • Investors can view past investments/divestments made 

Platform administrator dashboard  

  • Ability to add additional administrators to issuances
  • Create new projects with different content 
  • Edit fees and discounts for capital raises
  • Add bulleting board marketplace limitations such as date or price ranges
  • Set locks relative to regions, investor types, wallets 
  • Set limits relative to individual purchase amounts and total amounts owned
